About Helen
Helen concentrates her practice on PRC investments and commercial transactions, particularly in the technology/media/telecoms, entertainment and lifestyle sectors. Transactions include structuring offshore and PRC investments for individuals and corporate clients, venture capital rounds for Chinese companies, film co-production projects, joint ventures, asset purchases and commercial documentation. She also participated in the negotiation and drafting of one of China's earliest set-top box licensing and distribution agreements.
Helen has lived and worked in China for over 10 years. Before qualifying as an attorney, she was with UBS in Beijing and a legal assistant at TransAsia. Other work experience includes Adinvest AG (boutique funds management and private equity firm in Zurich). She also maintains an active pro bono practice.
Recent Projects
- Represented Reignwood Group in various matters, including a franchise agreement with an Italian luxury fashion label; the negotiation and drafting of a polo club management agreement, a sponsorship agreement for the first Cartier International Day in Shanghai and a purchase agreement for imported polo ponies for the Pine Valley Polo Club; as well as the Reignwood Theatre’s engagement of Mo. Placido Domingo as its artistic director
- Advised Disney Studios, Working Title and Relativity Media on film co-production projects in China
- Assisted Sperian Protection in negotiating and drafting an asset purchase agreement for facilities near Shanghai
- Advised Mtime.com (China's largest movie website) on multiple venture capital financing rounds involving well-known international funds
- Advised XING AG (business networking site) on issues relating to the offshore structure for its China Operations
- Assisted a leading publishing multinational with regard to a potential joint venture for distance learning
